<p>Legal Analysis of Online Contracts and Ecommerce: Ethiopian and Comparative Perspectives</p>

This article examines the legal dynamics surrounding the formation, validity, and enforcement of online contracts (e-contracts) and electronic commerce, with a primary focus on the evolving Ethiopian legislative landscape. E-commerce has revolutionized market access and transactions globally; however, it introduces systemic challenges to traditional contractual doctrines designed for physical interactions. Analyzing the Electronic Signature Proclamation No. 1072/2018 and the Electronic Transaction Proclamation No. 1205/2020, this paper explores how domestic laws protect consumer vulnerabilities, ensure data confidentiality, and recognize the validity of data messages. It also addresses structural hurdles, such as localized consumer redress limitations outside Addis Ababa. Furthermore, the paper provides a comparative assessment with international benchmarks including the UNCITRAL Model Laws, the European Union's E-Commerce Directive, and the United States' Uniform Electronic Transactions Act (UETA). Ultimately, the paper argues that given the inherently borderless nature of digital trade, international and regional harmonization of e-commerce laws is imperative to eliminate jurisdictional conflicts, mitigate transaction costs, and build a highly secured digital economy.
